Elon Musk’s move to end the merger agreement is “invalid and wrongful,” Twitter Inc. lawyers wrote on Monday in a United States Securities and Exchange Commission filing, APA reports citing Teletrader.
In their letter to Musk’s legal team, Twitter attorneys added that the company “has breached none of its obligations under the Agreement, and Twitter has not suffered and is not likely to suffer a Company Material Adverse Effect.” The social media platform’s lawyers went on to accuse Musk and his team of “intentionally, willfully, and materially” breaching the deal.
Twitter wants Musk and his associates to “comply with their obligations under the Agreement” and invest their “best efforts” to complete the transaction. “Twitter will continue to… diligently take all measures required to close the transaction” and reserves the “right to specifically enforce” Musk and his team’s “obligations under the Agreement,” the attorneys concluded.
